AGENDA

1. Confirm the minutes of the preceding AGM;
2. Presentation of the 2015/16 Annual Report;
3. Presentation of the 2015/16 Audited Financial Report;
4. Appointment of the auditor and determination of the auditor's remuneration;
5. Election of the members of the Board of Management (nomination form); and
6. Amendment of the Constitution (see below)

1. Constitution of the Board

Clause 23.(b)

"Seven other members; plus"

to be changed to:

"Five other members; plus"

2. Quorum for Board meetings

Clause 27.(4)

"Any 6 members of the Board constitute a quorum for the transaction of the business of a meeting of the Board."

to be changed to:

"Any 5 members of the Board constitute a quorum for the transaction of the business of a meeting of the Board."

3. Meetings of Standing Committees

Clause 29.(5)

"The standing committees are to meet not less than every two months."

to be changed to:

"The standing committees are to meet as directed by the Board."
